Effective September 2026
Applies to applicants seeking approval to purchase UniSUC and other AlPep products for resale, including dropship partners and storefront retailers.
1. Application is not approval.
Submitting this form does not create a partnership, franchise, employment, or exclusive territory. AlPep LLC (“AlPep”) may approve, deny, delay, or condition any application at its sole discretion. Access to wholesale or partner pricing begins only after written or account approval and assignment of the applicable customer group.2. Accurate information.
You certify that all information and documents you submit are true and complete. You authorize AlPep to verify that information. You must promptly update AlPep if your business name, address, ownership, sales channel, licenses, or contact details change.
3. Independent contractor.
You are an independent reseller or retailer. You are not an agent of AlPep and may not bind AlPep, collect money in AlPep’s name, or represent that you are employed by AlPep.
4. Licenses and taxes.
You are solely responsible for obtaining and maintaining all licenses, resale certificates, sales-tax permits, and other authorizations required for your sales channel and location. You collect, report, and remit any applicable sales, use, or similar taxes on sales you make to your customers. AlPep may require a valid resale certificate before partner pricing is activated.
5. Product integrity.
UniSUC is a medical device. You will not alter, remanufacture, rebrand, repackage in a misleading way, or sell expired, opened (except as allowed for demonstration), counterfeit, or gray-market product. You will sell products only in original condition with AlPep labeling and instructions intact, unless AlPep gives prior written consent.
6. Advertising and claims.
All advertising, websites, marketplace listings, and customer communications must be truthful and not deceptive. You may use only current product claims, images, and descriptions provided or approved by AlPep. You will not make unapproved clinical, insurance-coverage, or “guaranteed reimbursement” claims. AlPep may require correction or removal of noncompliant marketing.
7. Pricing.
Partner prices, discounts, and payment terms are set by AlPep and may change with notice. Approval of an application does not lock a margin. If AlPep publishes a minimum advertised price (MAP) policy, you will follow it in public advertising. You remain free to set the final price you charge your own customer, except as limited by any written MAP or other pricing policy then in effect.
8. Dropship orders.
If you sell as a dropship partner, you place orders through your approved AlPep account and may enter your customer’s ship-to address at checkout. You are the buyer of record from AlPep. Your customer’s contract is with you, not with AlPep, unless AlPep agrees otherwise in writing. You are responsible for collecting payment from your customer, for providing the correct ship-to information, and for customer service on that sale except for manufacturer defects handled under AlPep’s then-current return policy. AlPep may ship in AlPep packaging unless a blind-ship option is offered and selected.
9. Storefront retailers.
If you operate a website or physical location, you will not imply that your store is owned by AlPep. Listing on alpepllc.com/retailers is optional and only with your permission and AlPep’s approval. AlPep may add, edit, or remove a listing.
10. Orders, shipping, and returns.
Orders are subject to product availability and AlPep’s standard checkout, shipping, cancellation, and return rules then posted on alpepllc.com, unless a separate written partner agreement says otherwise. Partner accounts do not automatically receive consumer-subscription or promotional terms.
11. Insurance billing.
AlPep LLC is not an enrolled Medicare or Medicaid DMEPOS supplier and does not participate in commercial insurance plans for website orders. AlPep will not file insurance claims for your customers. If you bill insurance, you do so in your own name and at your own risk and compliance obligation. No AlPep discount or account benefit is offered in exchange for referrals or the volume or value of any federally reimbursable business.
12. No exclusivity; no guaranteed sales.
AlPep may sell directly to consumers and may appoint other retailers and dropship partners, including in your area. AlPep does not guarantee your sales, margins, or insurance reimbursement.
13. Confidentiality.
Partner pricing, account terms, and non-public business information AlPep shares with you are confidential. You will not publish those prices or terms except as needed to operate your account.
14. Brand and IP.
AlPep and UniSUC names, logos, and materials remain AlPep’s property. Approval to resell is a limited, revocable permission to use them only to sell genuine AlPep products, in a professional manner, and only while your account is in good standing.
15. Compliance.
You will comply with applicable FDA, FTC, state, and local laws for device distribution and advertising. AlPep does not give legal advice on whether your specific business model is permitted.
16. Term and termination.
Either party may end the reseller/retailer relationship at any time, with or without cause, by notice. AlPep may suspend or close an account immediately for false application information, unpaid invoices, product alteration, deceptive marketing, MAP violations (if a MAP policy applies), or other material breach. On termination you must stop using AlPep partner pricing and brand assets except to sell remaining genuine inventory you already purchased, unless AlPep requires a sell-off stop for compliance reasons.
17. Limitation of liability.
To the fullest extent permitted by law, AlPep is not liable for lost profits, lost customers, or other indirect damages arising from delayed approval, account suspension, stock shortages, shipping delays, or your resale activities. AlPep’s product warranties are limited to those AlPep publishes for the products.
18. Changes.
AlPep may update these terms. Continued use of a partner account after notice of an update constitutes acceptance of the revised terms. If a signed partner agreement exists, that agreement controls if it conflicts with this form.
19. Governing law.
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules, unless a later signed agreement states otherwise.
